1. Definitions
- "Company" refers to AZ Infotech.
- "Client" refers to the individual or entity using the Company's services.
- "Services" refer to the website and mobile app development services provided by the Company.
- "Agreement" refers to these Terms and Conditions.
2. Services
2.1. Service Description
The Company provides website and mobile app development services in various languages. These services include the development, design, and publication of websites and mobile apps on the client's domain (May be company domain if client want), Play Store, or App Store account (May be company account if client want).
2.2. Service Delivery
The Company will make reasonable efforts to deliver the services as agreed upon with the Client. However, the Company does not guarantee that the services will be error-free or uninterrupted.
3. Client Responsibilities
3.1. Information and Cooperation
The Client agrees to provide all necessary information, materials, and cooperation required for the Company to perform the services.
3.2. Compliance
The Client agrees to comply with all applicable laws and regulations when using the Company's services.
4. Payment Terms
4.1. Fees
The Client agrees to pay the fees for the services as agreed upon with the Company. All fees are non-refundable unless otherwise stated.
4.2. Payment Schedule
Payments shall be made according to the schedule agreed upon with the Company. The Company reserves the right to suspend or terminate services if payments are not made on time.
5. Intellectual Property
5.1. Ownership
The Client retains ownership of all intellectual property rights in the content provided by the Client. The Company retains ownership of all intellectual property rights in the materials created by the Company.
5.2. License
The Company grants the Client a non-exclusive, non-transferable license to use the materials created by the Company for the purpose for which they were created.
6. Confidentiality
6.1. Confidential Information
Both parties agree to keep confidential all information disclosed by the other party that is marked as confidential or that should reasonably be understood to be confidential.
6.2. Exclusions
Confidential information does not include information that is publicly known, independently developed, or disclosed by a third party without breach of confidentiality.
7. Limitation of Liability
The Company's liability for any claim arising out of this Agreement shall not exceed the amount paid by the Client for the services. The Company shall not be liable for any indirect, incidental, special, or consequential damages.
8. Termination
8.1. Termination by Client
The Client may terminate this Agreement at any time by providing written notice to the Company.
8.2. Termination by Company
The Company may terminate this Agreement if the Client breaches any terms of this Agreement and fails to cure the breach within 10 days of notice.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Himatnagar Jurisdiction.
10. Dispute Resolution
Any disputes arising out of or related to this Agreement shall be resolved through negotiation in good faith. If the parties cannot resolve the dispute through negotiation, they agree to submit the dispute to mediation before resorting to arbitration or litigation.
11. Amendments
The Company reserves the right to amend these terms and conditions at any time. The Client will be notified of any changes, and continued use of the services constitutes acceptance of the new terms.
